The Companies Registry currently charges TT$40 for the Notice of Change of Directors, secretary/assistant secretary filings, and a Change of Registered Office Address. Director changes must be notified within 30 days; a registered-office change within 15 days; secretary appointments or cessations within one month. Late filing penalties can be TT$300 for every month or part of a month.
Why these changes are separate filings
The Annual Return is not a substitute for a missing change notice. The Registry's FAQ says changes that occurred before the annual-return anniversary should be filed on the prescribed forms before the Annual Return is submitted.
If a director resigned months ago, correcting the annual return without filing the director change does not properly repair the historical company record.
Changing directors: 30-day notification deadline
The Companies Act guidance published by the Registry says a company must notify the Registrar within 30 days of a change among its directors. The current filing fee for the Notice of Change of Directors is TT$40.
When adding a new individual director, that person needs a CRA and must approve inclusion in the notice through CROS. The filing is then submitted under the Post Incorporation service and duplicate originals are signed and delivered to the Companies Counter.
A private profit company must continue to have at least two directors. Removing a director without considering the minimum can leave the company structurally non-compliant.
Changing or appointing a secretary: one-month notification window
The Registry says a company secretary must be appointed within one month after incorporation. It also says the Registrar must be notified of the appointment or cessation of a secretary/assistant secretary within one month of the event.
The current filing fee published for a Notice of Secretary or Notice of Change of Secretary is TT$40. A new individual secretary needs a CRA and the appropriate CROS approval. The company then files under Post Incorporation and delivers the signed duplicate originals.
Changing the registered office: 15 days
The registered office is the company's formal address for important correspondence and service of legal process. The Registry says it must be a complete physical address in Trinidad and Tobago; it cannot be a post office box or post office bag.
A change must be notified within 15 days. The current fee is TT$40. The Registry also explains that key company records—such as Articles, bye-laws, meeting minutes and registers—are required to be kept at the registered office.
Late filing penalties can dwarf the filing fee
The Registry pages for directors, secretary and registered office state a late-filing penalty of TT$300 for every month or part of a month that the notice remains late, subject to any applicable amnesty where the page says one is in force.
A TT$40 change filing can become materially more expensive if it is allowed to remain overdue.
CRA approvals matter when adding people
A new director or secretary needs a Companies Registry Account. The person grants the relevant approval through their own CRA, then provides the surname and Account PIN required by the CROS workflow.

Update the internal company records as well
The Registry filing updates the public/Registrar record. The company should also update its own registers, resolutions, minutes, banking mandates, insurance, licences, payroll authorities, tax records and contracts where the changed person or address is relevant.
A registered-office move should include the physical transfer and secure maintenance of the statutory records required to be kept there.
