The Companies Registry requires a notice within 30 days of a change among directors. Incoming directors need the relevant CRA and approval for an existing company, and the private profit company must maintain the applicable director requirements.
Know the appointment and notice requirements
The Registry says a private profit company needs at least two directors, a public profit company at least three and a non-profit company at least three. It also says a company must notify the Registrar within 30 days of any change among its directors. Confirm the rule for the company's actual category rather than assuming one director is sufficient.
The corporate decision to appoint or remove someone should follow the company's legal documents and applicable law. The filing then updates the public corporate record. The effective date and supporting minutes should be accurate so that third parties understand when the person held authority.
Use the 'Existing' director approval
An incoming director joining a company already incorporated should use the prescribed existing-entity approval rather than a name-reservation reference. The Registry instructs the person to log into their individual CRA, select My Account and Approval, set Type to Existing, Role to Director, and identify the company.
The filing applicant can then use the legally correct participant details in the Notice of Change of Directors. Where a corporate entity is permitted to hold the relevant position, its authorisation path differs. Account access and approval should reflect the real director, not whichever person happens to manage the company's paperwork.
Prepare the notice and fee
The Registry directs an authorised director or secretary to choose the CROS Post Incorporation service, complete the notice and pay the published TT$40 filing fee. Its current e-signature guidance should be checked to determine whether self-filed documents are automatically electronically registered or whether other completion steps apply.
Avoid assuming a payment receipt alone confirms that Google, a bank or another third party has an updated director list. Save the registered notice and compare it with internal company records. If a director's CRA profile contains outdated personal details, resolve them through the Registry's personal account process.
Check who remains on the board
Suppose a private profit company has only two directors and one resigns. Because the Registry states such companies must have at least two, the company needs to address its composition rather than simply removing one name and carrying on with one director. The legal requirements and timing should be reviewed before the resignation takes effect.
A replacement may also affect bank signatories, loan covenants, indemnities and internal delegated powers. A new director's appointment does not automatically make that person a shareholder; director status and share ownership must be maintained in different records.
Update the company operating file
Maintain the official director list, minutes or resolutions, notice of change, approvals, registered correspondence and internal contacts. Review whether the company secretary, bank, payment providers, accountants and insurers need copies of the registered change. Remove access that the outgoing director no longer requires under the company's authority controls.
A director change is also a useful moment to review beneficial ownership, but do not assume every director appointment changes beneficial ownership. Some individuals may exercise control without shares, while others hold shares without directing the company. Consider each framework separately.
Worked example: replacement director
A consultancy with two directors needs to replace one due to retirement. The owners first confirm the decision-making authority, obtain the proposed new director's CRA and Existing role approval, and prepare the Notice of Change of Directors with the actual effective date.
They complete the filing within the prescribed window, preserve the registered notice and update internal authorities. If the outgoing director also held shares, the possible share transfer is a separate transaction with its own filings and deadlines; it should not be presumed complete from the director notice.
