The mistake: treating registration as one clock

“How long does it take?” sounds like one question, yet the process has several clocks. A new applicant may need CRA verification before they can reserve a name. A company may require several people to create CRA accounts and grant approvals. A name can be queried or rejected. After electronic filing, signed documents still have to be completed in the manner prescribed by the Registry.

A provider that promises a fixed end-to-end completion date without conditions is ignoring parts of the process outside its control.

Stage 1: CRA identity verification

The Registry verifies the applicant's identity documents before creating the Companies Registry Account. Its public guidance explains the documents required, but it does not publish one guaranteed processing time for every CRA application.

Applications with clean identity records can move differently from applications involving name changes, unreadable documents, headshot problems or Registry queries. Prepare this stage first if the business registration depends on it.

Stage 2: name reservation has a published three-working-day target

For both an individual business name and a profit-company name, the Registry currently publishes a processing time of three working days for the name-reservation application.

The outcome can be approval, query or rejection. A query pauses the practical journey while clarification is supplied. A rejection means a new name reservation application and a new fee.

Stage 3: the approved name is valid for 45 days

Once approved, the business or company name is reserved for 45 days. The registration or incorporation must be completed within that period.

This is not a target saying registration should take 45 days. It is an expiry window. If other CRA approvals, shareholder/director decisions or documents are not ready, time can be lost while the reservation runs down.

Stage 4: company approvals can become the hidden bottleneck

For a profit company, other persons or entities involved in formation must grant the required CROS approvals. The approval depends on each person's CRA and their action inside the system.

If one director has not completed CRA registration, or one incorporator has not granted approval, the incorporation cannot be treated as ready simply because the company name was approved.

Stage 5: the registration or incorporation filing

Once the name and required approvals are in place, the applicant submits the business registration or company incorporation and pays the Registry fee. The current official pages explain the submission sequence and certificate-collection step, but do not state a single guaranteed end-to-end turnaround for all correctly filed applications.

Stage 6: signed documents and certificate completion

For an individual business name, the Registry's current instructions say the completed application must be printed, signed and delivered to the Companies Online Counter to collect the certificate. For a company, duplicate Articles of Incorporation, Notice of Address and Notice of Directors are printed, signed with original signatures and delivered to the Registry.

Travel, appointment availability, signatures and client responsiveness can therefore affect the date the file is fully completed.

1. Prepare CRA documents for every required person.
2. Submit the CRA applications and resolve verification issues.
3. Submit the strongest available name choice; allow for the published three-working-day reservation process.
4. Complete company approvals immediately after name approval where relevant.
5. File registration/incorporation well before the 45-day reservation expires.
6. Complete wet-signature/certificate steps promptly.
