A Companies Registry Annual Return reports prescribed company particulars following the incorporation anniversary. Form 45 addresses beneficial ownership information and changes; the Registry lists TT$40 filing fees for each separate service.
An annual return follows the company anniversary
The Companies Registry states that a company on its register must file its annual return within 30 days of the anniversary of incorporation, continuance or amalgamation. The filing reports prescribed particulars of the company. Its published fee is TT$40, with late penalties possible.
An annual return is not the same as a tax return. Owners should mark the correct company anniversary in a compliance calendar and identify the director or secretary responsible for filing. Filing no sales in a tax year does not automatically erase the corporate return obligation.
Form 45 identifies the beneficial owners
The Registry's beneficial ownership framework requires profit and external companies to identify natural persons who ultimately own or control the business under the applicable rules. Form 45 documents relevant beneficial ownership particulars, including direct and indirect interests and changes.
This assessment is different from merely listing a company's directors. A company with shareholders held through holding companies may need a structure chart, and the Registry's guidance also addresses control exercised through other means. The published fee for a Form 45 return is TT$40.
Why the deadlines differ
The Annual Return is tied to the anniversary period. Beneficial ownership changes are event-driven: the Registry's published guidance says changes must be notified within 14 days. A transfer of shares in June should not automatically be left until the company anniversary in December.
A single transaction may prompt multiple duties: a share transfer return, an updated beneficial owner register and a Form 45 notification. The deadlines and records should be treated separately. Some older legal texts may reflect different amendment periods; confirm the current requirements for a particular transaction.
Understand the available filing route
Both services appear within post-incorporation processes. Authorised CROS roles and identity requirements apply; the Form 45 process can require new beneficial owners to complete CRA approval. The Registry's e-signature guidance now addresses automatic registration for eligible self-filed electronic documents.
For an agent-filed or other transaction, physical original requirements may differ. Confirm registration through the final official document and email rather than relying on a draft or checkout receipt. Keep each filing under its correct type in the company archive.
Build two compliance controls
Create one calendar entry for the company anniversary and the resulting 30-day Annual Return period. Add a separate event-triggered control for ownership, control and officer changes. This can be a simple spreadsheet with a change date, responsible person, due date, form and evidence of completion.
The internal beneficial owner register must be maintained even when no immediate external submission is under preparation. Record how owners were identified, what documents were considered and the effect of transactions. An annual review can supplement—but not replace—the obligation to respond to changes as they arise.
