What a general by-laws template normally tries to cover

A general document commonly deals with directors, officers, meetings, notices, voting, records, execution of documents, banking authority, financial year and amendment procedures. These are ordinary governance topics rather than a substitute for the company's Articles or any shareholder agreement.

Check the Articles before adopting a template

The Articles may contain restrictions on share transfers, pre-emptive rights, director powers, business restrictions and other provisions that affect how the company is governed. A template should not be treated as a separate universe from those filed constitutional documents.

Five warning signs that a generic template may not be enough

  1. The company has more than one share class or unusual share rights.
  2. Investors have negotiated approval, veto or information rights.
  3. Founders have vesting, exit, succession or buy-out arrangements.
  4. A shareholder agreement already governs voting, transfers or management.
  5. The owners want deadlock, pre-emption or dispute provisions designed around their circumstances.

A standard governance document can be appropriate where the company has a conventional structure and no unusual shareholder or investment arrangements.
